Terms of Service

By accessing or using the Acuent.ai platform, website at https://acuent.ai, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not access or use the Service.

Acuent.ai is an AI-powered leadership operating system designed for executive teams running EOS (Entrepreneurial Operating System), Scaling Up, 4DX, and other business execution frameworks. The platform includes:

• Command Center — centralized executive dashboard
• Weekly Dashboard — scorecard tracking and trend analysis
• CEO Daily Briefing — AI-generated leadership intelligence
• 1:1 Intelligence — AI-enhanced one-on-one meeting support
• Employee Scorecards — performance tracking and analytics
• Quarterly Planning Engine — strategic planning pre-work and facilitation
• AI Thought Partner — conversational strategic advisory
• Coach View — multi-client dashboard for EOS implementers and coaches

Features available to you depend on your subscription tier. We reserve the right to modify, add, or discontinue features at our discretion with reasonable notice.

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Promptly notifying us of any unauthorized use of your account.
• Ensuring that account information remains accurate and up to date.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Acuent.ai is offered on a subscription basis. Details on current plans and pricing are available on our Pricing page.

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
• Price Changes:We may adjust pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for any taxes associated with your subscription.

Our IP: The Service, including its design, code, AI models, algorithms, content, branding, and documentation, is the intellectual property of Acuent Capital LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription.

Your Data: You retain all ownership rights to the data you input into the Service. We do not claim ownership of your content. We use your data solely to provide and improve the Service as described in our Privacy Policy.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload malicious code, viruses, or any harmful content.
• Attempt to gain unauthorized access to the Service, other accounts, or underlying systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to compete with Acuent.ai or to build a similar product.
• Resell, sublicense, or distribute access to the Service without authorization.
• Interfere with or disrupt the integrity or performance of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACUENT CAPITAL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to indemnify, defend, and hold harmless Acuent Capital LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we reasonably determine that continued access poses a risk to the Service or other users.

Upon termination, your right to access the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Before initiating any formal dispute resolution, you agree to first attempt to resolve any dispute informally by contacting us at chris@newburypartners.com. We will attempt to resolve the dispute within 30 days.

If the dispute cannot be resolved informally, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding. Each party shall bear its own costs, unless the arbitrator determines otherwise.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes acceptance. If you do not agree to the revised Terms, you must discontinue use of the Service.
